1. Who we are
This website is operated by Tylect Technologies Private Limited (“Tylect”, “we”, “us”), a company incorporated in India under CIN U62013RJ2026PTC112813, with its registered office at Plot No-490, Sachiwalaya Vihar, Mansarovar, Jaipur, Rajasthan 302020, India.
2. Acceptance of these terms
By accessing tylect.com, submitting an enquiry, or using any service or API we provide, you agree to these Terms of Service. If you are agreeing on behalf of a company, you confirm you are authorised to bind that company. If you do not agree, please do not use the site or our services.
3. Services we provide
Tylect provides IT consulting, managed IT services, DevOps and CI/CD engineering, multi-cloud management, cybersecurity services, API integration, and software products including InnoWave API Hub, Naukricart and Watchnod. The specific scope, deliverables, service levels and fees for any engagement are governed by a separate written agreement, statement of work or order form. Where that agreement conflicts with these terms, that agreement prevails.
4. Use of this website
You may use this website for lawful purposes only. You agree not to attempt to gain unauthorised access to any part of the site or its infrastructure, probe or scan for vulnerabilities without our prior written consent, interfere with its normal operation, or use automated means to extract content at a rate that degrades service for others.
5. Accounts and API access
Where we issue credentials or API keys, you are responsible for keeping them confidential and for all activity carried out under them. You must notify us promptly at help@tylect.com if you believe credentials have been compromised. We may suspend access where we reasonably believe it is being misused, where usage threatens the stability of the service, or where required by law or by an upstream data provider.
6. Fees and payment
Fees, billing frequency and payment terms are set out in the applicable agreement or order form. Unless stated otherwise, fees are exclusive of GST and other applicable taxes, which you are responsible for paying. We may suspend services for accounts materially overdue on payment after giving reasonable notice.
7. Intellectual property
All content on this website, and all software, documentation and materials we supply, remain the property of Tylect or its licensors. Nothing in these terms transfers ownership. Where an engagement provides for deliverables to be assigned to you, that assignment is governed by the applicable agreement. You retain ownership of data and materials you supply to us.
8. Third-party services and data sources
Several of our products return data obtained from third-party and government sources. We pass that data through as received and do not warrant its accuracy, completeness or currency. You are responsible for determining whether such data is suitable for your purpose and for complying with any restrictions imposed by the underlying source. Our site also links to external websites, over which we have no control and for which we accept no responsibility.
9. Warranties and disclaimers
We provide our services with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, this website and our services are provided “as is” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation. Any service level commitments apply only where expressly stated in a signed agreement.
10. Limitation of liability
To the fullest extent permitted by law, Tylect will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, business or goodwill, however arising. Our total aggregate liability arising out of or relating to the services will not exceed the total fees paid by you to Tylect in the twelve months preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
11. Indemnity
You agree to indemnify Tylect against claims, losses and reasonable costs arising from your use of the services in breach of these terms, your infringement of a third party’s rights, or your violation of applicable law.
12. Confidentiality
Each party may receive information the other treats as confidential. Each party agrees to protect the other’s confidential information with at least the care it applies to its own, and to use it only for the purpose of the engagement. This obligation does not apply to information that is public through no fault of the receiving party, was already lawfully known, or is required to be disclosed by law.
13. Termination
Either party may terminate an engagement in accordance with the applicable agreement. We may suspend or terminate website or API access immediately where these terms are materially breached. On termination you must stop using our credentials and materials; provisions on intellectual property, confidentiality, liability and governing law survive.
14. Changes to these terms
We may update these terms from time to time. The current version is always published on this page with the date it took effect. Material changes affecting an ongoing paid engagement will be notified to the contact address on your account.
15. Governing law and jurisdiction
These terms are governed by the laws of India. The courts at Jaipur, Rajasthan have exclusive jurisdiction over any dispute arising out of or in connection with them, subject to any arbitration provision in a signed agreement between us.
